甲方：xx

Party A: STRATEGIC SOURCING ASIA

乙方：xx鞋业有限公司

Party B:PUTIAN XIECHENG FOOTWEAR CO.,LTD.

鉴于甲乙双方彼此长期友好合作关系，现就 甲方鞋款订单 给乙方带来的大底使用收益及所有权归属问题，达成如下协议。

To develop long-term good business relationship, Party A and Party B hereby come to an agreement relevant to the benefit and ownership for the outsole-moulds .

一、 甲方通过下订单给旗下鞋款供应商，由甲方鞋款供应商向乙方订购订单大底 . 的方式，使乙方获得收益。

Party A grants Party B the rights to get profits from the outsole-moulds by producing relevant outsoles for Party A ‘s suppliers whom will place orders to Party B.

二、 所有经由以上方式生产的大底，其大底模具 所有权完全归属于甲方，甲方依法享有对其占有、使用、收益、和处置的权利 。未经甲方许可，乙方不得为任何第三方公司或个人生产 甲方鞋 款订单大底。

For all outsoles used in relevant orders, the property rights are proprietary to Party A. Party A has rights to lawfully possess, utilize, profit from and dispose of relevant outsole-moulds. Party B shall not produce any relevant outsoles for any other Party or individual without Party A’s permission.

三、 乙方是甲方鞋 款订单大底的合法供应商。经甲方授权，依法享有为甲方旗下鞋款供应商生产甲方订单大底，并获得相应收益的权利。

Party B is one of lawful outsole suppliers for Party A . Party A agrees Party B to lawfully use outsole-moulds which are said in the agreement by producing relevant outsoles for Party A‘s suppliers whom will order them from Party B .

四、 任何乙方为第三方公司或个人生产甲方所有权大底的行为均视为侵权行为。甲方保留向相应法律机构提起诉讼并追偿所有因乙方侵权行为产生的相关收益的权利。

The conducts that Party B produces outsoles which is said in this agreement for any other Party or individual are serious acts of tort to Party A. Party A is entitled to take any proceedings to claim damage for the breach of agreement.(Including, without limitation, lost profits and opportunity cost, etc.)

五、 甲方鞋款供应商信息属于甲方的商业机密。乙方应严格行使对其信息予以保密的义务。未经甲方许可，乙方不得向任何第三方公司或个人透露甲方鞋款供应商信息。

Any information relevant suppliers of Party A are commercial secrets and proprietary to Party A, that shall be kept strictly confidential by Party B. Party B shall not leak any information to any other Party or individual without Party A’s permission.

六、 任何第三方公司或个人通过乙方获知甲方鞋款供应商信息的行为均被视为乙方的严重商业泄密行为，甲方保留向相应法律机构提起诉讼并追偿所有因乙方泄密行为对甲方因此产生可能的损失或商业纠纷索赔的权利。

The conducts that Party B leaks information relevant suppliers of Party A to other Party or individual are serious illegal behaviors. Party A is entitled to take any proceedings to claim damage for the breach of agreement (including, without limitation, lost profits and opportunity cost, etc.)

七、 任何一方未履行本协议项下的任何一项条款均被视为违约。

If any Party fails to perform any of its obligations in any material respect under this Agreement is a serious breach of this Agreement.

八. 未经甲乙双方书面确认，任何一方不得自行变更或修改本协议。

Without written confirmation, either party shall not change or amend this Agreement.

九、 本协议一式二份，甲乙双方各执一份。

This Agreement is made in two originals that should be held by each Party.

十、 本合同有中、英两种文本。

当对其中条款的解释产生异议时，以中文本为准。

The Agreement is made out in Chinese and in English. In case of doubt as to the interpretation of any provisions, the Chinese version shall be controlling.
